Terms and Conditions
Closer Terms and Conditions. Version 1.1, effective October 17, 2026.
These Terms and Conditions ("Terms") govern your purchase and use of Closer and the website salescloser.bot (together, the "Service"), provided by Vermont Forest [legal entity type, e.g. LLC, and state of organization] ("Vermont Forest", "we", "us"), operated by Carl Weiss. "You" means the business or person that buys or uses the Service. By checking the agreement box at checkout, or by using the Service, you accept these Terms and the End-User License Agreement at salescloser.bot/eula/ ("EULA").
1. The Service
Closer is an AI voice sales agent that talks with visitors on your website, answers questions about your products and guides them to your checkout. The demo on salescloser.bot, including the demo checkout, runs in Stripe sandbox (test) mode and charges nothing.
2. Eligibility and account
You must be at least 18 and able to form a binding contract, and you must use the Service for business purposes. You agree to give accurate business, contact and billing information and keep it current.
3. Price, minutes and billing
- Closer costs a one-time $500 signup fee plus minutes bought in blocks: one block is 1,500 minutes for $300, which is 20 cents a minute. One block is the minimum purchase. You may buy more blocks at checkout.
- At checkout you pay the $500 signup fee plus your blocks (one block: $800). Payments are processed by Stripe by card.
- Your card is saved on file with Stripe. When your minutes balance runs out, you authorize us to charge your saved card $300 automatically, without further action from you, for 1,500 more minutes at 20 cents a minute. Each refill is charged once and shown on your card statement.
- Before you buy, you get one free demo and one free tuning round. There is no other free use.
- Fees do not include taxes; you are responsible for applicable taxes. We may change prices with at least 30 days' notice by email; changes apply to refills charged after the notice period.
4. Stopping refills and refunds
You may stop automatic refills at any time by emailing carl@vermontforest.com; no further refills are charged after we confirm, and the Service stops when your remaining minutes are used. Fees already paid, including the signup fee and minutes blocks, are non-refundable except where required by law. [Refund policy: to be confirmed by Carl.]
5. Your responsibilities
You are responsible for the product information, prices, policies and instructions you give the Service; for your website and checkout; for telling your visitors that they are speaking with an AI agent where required; and for obtaining any consents needed from your visitors.
6. End User responsible for legal compliance
You, the end user, are solely responsible and liable for all legal compliance related to your use of the Service and your business, including without limitation consumer protection, advertising and sales disclosures, privacy and data protection, call recording and consent, AI disclosure, telemarketing, accessibility, tax and industry-specific laws and regulations in every jurisdiction where you or your website visitors are located. Closer will use best efforts, but Closer and Vermont Forest are not responsible for any compliance issues you have. You agree to indemnify, defend and hold Vermont Forest harmless from any claim, fine or loss arising from your non-compliance or your use of the Service.
7. Acceptable use
You will not use the Service for unlawful, fraudulent, deceptive, harassing or harmful purposes, to sell prohibited products, or in any way that breaches the EULA.
8. Conversations and data
Conversations with the Service may be transcribed and stored to provide, support and improve it. You are responsible for your own privacy notice to your visitors. We do not sell your data. Card details are handled by Stripe; we do not store full card numbers.
9. Availability
We aim to keep the Service available but do not guarantee uninterrupted operation. The Service depends on third-party AI, hosting and payment providers.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, TO THE FULLEST EXTENT PERMITTED BY LAW. WE DO NOT GUARANTEE ANY LEVEL OF SALES, CONVERSIONS OR RESULTS. AI RESPONSES MAY BE INACCURATE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, VERMONT FOREST IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OR LOST PROFITS, REVENUE OR DATA. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE FEES YOU PAID IN THE THREE (3) MONTHS BEFORE THE CLAIM AROSE.
12. Suspension and termination
We may suspend or end the Service if you breach these Terms or the EULA, fail to pay, or create legal or security risk. You may end it by stopping refills as described above.
13. Changes to these Terms
We may update these Terms by posting a new version on this page with a new effective date. Continued use after an update means you accept it.
14. Governing law
